We are proud to represent a successful investment firm in its search for a Senior Corporate (part-time). The individual will be responsible for the day-to-day corporate and legal administration of the various investment vehicles and SPVs of the Luxembourg investment platform. Within the Corporate Services team, which currently comprises 5 professionals, you will manage a portfolio of holding companies and fund structures, working closely with a number of different internal Luxembourg team members and liaising with external third-party suppliers and advisors.
Key responsibilities include:
1) Legal drafting & reviewing:
- drafting of all documents pertaining to the corporate life cycle of the portfolio of companies (board minutes, shareholder resolutions, internal service agreements),
- drafting of legal memos relating to the key events of the life cycle of the portfolio companies,
- reviewing of legal documents received pertaining to various transactions
2) Corporate administration:
- organisation of physical board meetings (attendees, board pack compilation, track attendance, proxies, etc.),
- RCS & RBE filings,
- updating of share registers,
- maintenance of structure charts and ownership chain documentation,
- management of shareholder relationship administration of the Luxembourg-based companies,
- all correlated administrative tasks (including but not limited to coordination of signatures, preparation of audit conformations, general correspondence, updating of our internal databases.
Requirements
- University degree in Law.
- Minimum 5 years of experience in legal and corporate administration, preferably within financial or legal services; experience in fund structures is considered an advantage.
- Strong knowledge of Luxembourg corporate and legal framework.
- Excellent Microsoft Office skills.
- Fluent in English; strong proficiency in French, German, or Luxembourgish is considered an advantage.
- High level of accuracy and strong attention to detail, with a focus on delivering quality work.
- Ability to work under pressure, meet tight deadlines, and operate independently.
- Strong organizational and time management skills.
- Excellent written and verbal communication skills.
- Team-oriented mindset, eager to learn, and adaptable in a fast-paced and evolving environment.
